Abstract:: A recent article suggests that "directors and officers have a fiduciary duty to maintain the highest standards of information security for their companies, and that security failures of a material nature may not only be actionable by shareholders, but also reportable events for certain public companies." What follows is a detailed discussion of the internal and external regulatory challenges now faced by organizations, the scope of these challenges, and of the ways in which they can be addressed through better business processes and automation.
