- Sears Roebuck & Co. will probably lay off employees at its corporate headquarters, according to a were service report, which cited an internal memo written by Chairman and Chief Executive Alan J. Lacy last week.
- Intraware Inc., which makes Internet software for companies, said it will cut 35 percent of its work force as part of an overall restructuring.

- High-speed Internet access provider Covad Communications Group Inc. said it expects to file for bankruptcy protection by mid-August and is discussing with bondholders a plan to eliminate its $1.4 billion of debt.
- Reynolds and Reynolds Co. said that it has raised the number of its shares that it may repurchase by 5 million to 7.1 million.
- J.P. Morgan Chase & Co. sold $1.5 billion in five-year global senior notes, up from an originally planned $1 billion. It was priced to yield 5.695 percent, or 104 basis points over Treasurys. It was rated Aa3 by Moody's and AA-minus by S&P.
- Edison Mission Energy, a subsidiary of Edison International, sold $400 million in seven-year notes in the private placement market, led by Credit Suisse First Boston. It was priced at par to yield 10 percent. It was rated Baa3 by Moody's and BBB-minus by S&P.
- Aetna Inc. reported an operating loss of $95.9 million for the second quarter due to rising medical costs.
- Cooper Industries, Inc. rejected Danaher Corp.'s unsolicited $5.5 bid as "inadequate and highly conditional."
- Conseco Inc. said it will phase out about half of its major medical health insurance policies, which could affect as many as 80,000 clients.
